Research title: A Research Proposal about Reforming of the Legal System for Corporate Governance

Research Summary

My research proposal focuses on reforming the legal system of corporate governance in financial institutions as a way to address the persistent problem of moral hazard.
The 2008 financial crisis revealed that traditional financial supervision alone cannot effectively prevent excessive risk-taking by financial institutions. This is because these institutions are corporate entities whose internal governance structures—rooted in shareholder primacy and limited liability—encourage short-term profit seeking while externalizing systemic risks to the public.
Therefore, this study argues that moral hazard in financial institutions is not only a regulatory issue, but also a corporate governance problem embedded in company law.
It proposes to reform the legal system of corporate governance so that the behavior and risk appetite of financial institutions can be adjusted endogenously, ensuring the stability of the financial system.
