Short Description

This is an elective course within the Diploma in Professional Legal Practice designed to equip students with the professional skills necessary for practising commercial conveyancing in Scotland.

Course Aims

The aims of the course are;

■ To provide students with a thorough grounding in the essentials of commercial conveyancing transactions, using a model transaction.

■ To apply the knowledge which has been learned during the undergraduate years and during the 1st semester Conveyancing course to practical commercial conveyancing situations.

■ To develop drafting skills in relation to missives and other property-related documents.

■ To become familiar with track-change revisals to legal documents

■ To apply a range of techniques and practices to ensure proper and meaningful communication with clients and other parties.

■ To equip students with a good understanding of commercial conveyancing practice including development work, so as to be able to work meaningfully in this area of work in their traineeship firm.

Intended Learning Outcomes of Course

By the end of this course students will be able to:


■ Understand the process of different commercial conveyancing transactions and demonstrate a critical understanding of the major theoretical principles of conveyancing and property law as they apply to practical situations in a variety of contexts.


■ Understand and work with conditional missives and option agreements, development clauses in missives, deeds of conditions, and agreements for leases for new build properties.


■ Draft and revise property documentation to the point of conclusion of the contract.


■ Demonstrate effective communication and negotiation / revising skills in relation to missives, leases and development clauses.


■ Understand the various tax implications in commercial conveyancing transactions including Land & Buildings Transaction Tax and VAT.


■ Understand lenders' requirements with reference to properties subject to leases, and for development transactions.

Minimum Requirement for Award of Credits

Attendance at tutorials is compulsory. Credit will be refused if a student fails to attend a tutorial without good cause.


The requirements for the award of the Diploma in Legal Practice is 120 credits:

(a) candidates to achieve a grade D or better in all courses.

(b) candidates to achieve a grade D or better in each component part of each course.
