Short Description

The course introduces students to the various legal structures and mechanisms which facilitate the carrying out of business. Section A considers the law of agency and partnership. Section B focuses on Company Law. Section C considers 'Companies and their Debts' and introduces concepts of secured financing and corporate insolvency.

Timetable

Two one-hour lectures per week, with an additional one hour lecture at the end of each section (A, B, and C).

 

Sections A and B will track the lecture times and venues for LAW2001 and 2042: all students taking Business Organisations will take these lectures together.

 

Owing to jurisdictional differences, students in LAW2041 will be taught Section C separately from the Scots law students.

Assessment

This course is assessed by a two-hour exam. The format of the exam is as follows:

 

■ Section A (Agency and Partnership): One modified pre-seen problem question. One week before the exam, students will be given a problem question. In the exam, students will be presented with a modified version of this question (with relevant changes identified), with related questions for them to answer.

■ Sections B (Company Law): two questions will be provided, and a student will need to answer one question.

■ Section C (Companies and their Debts): two questions will be provided, and a student will need to answer one question.

Course Aims

To enable students to acquire an understanding of the legal framework for business organisations. Agency, partnerships, companies and companies and their debts are dealt with.

Intended Learning Outcomes of Course

By the end of this course students will be able to:

 

 - understand and apply the general principles of the law of agency to factual scenarios;

- understand and apply the general principles of partnership law (including the law of limited partnerships and limited liability partnerships) to factual scenarios;

- understand and apply the general principles of company law to factual scenarios;

- understand and apply the general principles relating to the funding of different business entities to factual scenarios;

- identify and explain, by reference to case law or statute or both, the relevant legal sources for the general principles; and

- evaluate the advantages and disadvantages of different legal structures to a business.

Minimum Requirement for Award of Credits

No exceptions
